PRIVATE 1:1 MONEY COACHING AGREEMENT

My Dream Finances LLC
Effective Date: November 2026

1. Agreement and Parties

This Private 1:1 Money Coaching Agreement ("Agreement") is entered into between My Dream Finances LLC ("Company"), represented by Germaine Foley ("Coach"), and the individual purchasing private coaching services ("Client").

By electronically accepting this Agreement and completing the initial payment, Client acknowledges that they have read, understood, and agreed to the terms outlined herein.

2. Program Description and Included Services

Company agrees to provide Client with a six-month private money coaching program ("Program") designed to help Client improve money-management habits, develop greater financial confidence, and work toward personal financial goals.

The Program includes:

  • One 90-minute private kickoff session to review Client's financial circumstances, establish goals, identify obstacles, and develop an initial action plan.

  • Access to up to two 30-minute private coaching sessions per calendar month during the six-month coaching term, subject to the scheduling provisions of this Agreement.

  • Access to Company's online course library, including designated educational lessons, worksheets, templates, and related resources.

The kickoff session is separate from the 30-minute coaching sessions.

Coaching sessions are conducted virtually unless otherwise agreed in writing.

Company will provide reasonable appointment availability during the coaching term. Client is responsible for scheduling and attending sessions.

3. Enrollment, Kickoff, and Program Duration

The coaching relationship begins when Client accepts this Agreement and completes the initial payment.

The six-month coaching term begins on the date Client completes the 90-minute kickoff session. The calendar month in which the kickoff occurs is considered the first month of the six-month coaching term.

The Program concludes on the final day of the sixth calendar month, including the kickoff month.

For example, if Client enrolls January 1 and completes the kickoff February 5, the coaching term begins February 5 and concludes July 31.

Kickoff Scheduling Requirement

Client agrees to schedule the kickoff session within 30 calendar days of enrollment, subject to Company's reasonable scheduling availability.

Company will make reasonable kickoff appointment availability accessible during this period. An appointment scheduled within the 30-day period may occur after that period if mutually agreed.

If Client fails to schedule or attend the kickoff, Company may provide written notice requesting that Client schedule the session within an additional 14 calendar days.

If Client does not respond or schedule the session within that additional period, Company may terminate enrollment under Section 12, subject to applicable law.

An uncompleted kickoff session will not be deemed completed solely because the scheduling deadline has passed.

Payment obligations begin upon enrollment and operate independently of the coaching term.

4. Program Fees and Payment Options

Client agrees to purchase the six-month Program using one of the following payment options.

Option A: Pay in Full

One payment of $2,800, due immediately upon enrollment.

This price reflects a $200 discount for paying the full Program fee upfront.

Option B: Installment Payment Plan

Six installments of $500, totaling $3,000.

  • The first installment of $500 is due immediately upon enrollment.

  • The remaining five installments will be automatically charged at 30-calendar-day intervals following the initial payment.

  • Client authorizes Company and its designated payment processor to charge the selected payment method according to this schedule.

The installment option is a payment arrangement for the entire six-month Program. It is not a month-to-month subscription.

The installment schedule operates independently of the coaching term and does not change based on the date of the kickoff session.

Client remains responsible for the full Program fee under the selected payment option, subject to applicable law and the termination provisions of this Agreement.

Fixed Program Pricing

The Program fee and payment schedule agreed upon at enrollment are fixed and will not be increased by Company during the term of this Agreement.

Any additional coaching services, extensions, or future programs will require a separate agreement.

Failed Payments

Client is responsible for maintaining valid payment information.

If a payment fails, Company may request updated payment information and provide a reasonable opportunity to resolve the outstanding payment.

Company may suspend future coaching sessions or Program access for unresolved nonpayment after appropriate written notice.

Suspension of access does not eliminate legally enforceable outstanding payment obligations.

No Automatic Renewal

The Program does not automatically renew. Additional coaching requires a separate agreement or written extension.

5. Six-Month Commitment and Refund Policy

Client understands that enrollment represents a financial commitment to the entire six-month coaching Program.

All Program payments are nonrefundable, except where required by applicable law or expressly agreed to in writing by Company.

The Program fee covers the complete coaching experience, including reserved coaching capacity, appointment availability, and access to educational resources. The fee is not solely a charge for individual sessions attended.

Client's decision to discontinue participation, miss appointments, or refrain from using Program resources does not entitle Client to a refund, except where required by applicable law or agreed to in writing by Company.

Clients selecting the pay-in-full option acknowledge that the discounted Program price covers the complete six-month commitment and is not prorated based on participation.

Clients selecting installments remain responsible for the agreed payment schedule unless Company releases them from remaining obligations in writing or applicable law provides otherwise.

Nothing in this Agreement waives legally protected cancellation, refund, or other consumer rights, including remedies for services Company fails to provide.

6. Coaching Sessions, Scheduling, and Expiration

Client may schedule up to two 30-minute private coaching sessions during each calendar month of the six-month coaching term.

The calendar month in which the kickoff session occurs is the first coaching month.

Depending on the kickoff date and reasonable scheduling availability, Client may schedule additional 30-minute sessions during the kickoff month.

The number of sessions Client ultimately attends may vary depending on the kickoff date, appointment availability, and Client's participation.

Unused Sessions

Unused sessions expire at the end of their designated calendar month.

Unused sessions do not carry forward to another month, extend the coaching term, or qualify for a refund or credit, except as required by applicable law.

Company may approve an exception in writing at its discretion. Any exception does not establish a right to future exceptions.

Sessions will not be considered forfeited solely because Company failed to provide reasonable appointment availability during the applicable calendar month.

Session Cancellations and Rescheduling

Client must provide at least 24 hours' advance notice to cancel or reschedule a coaching session.

Sessions canceled with less than 24 hours' notice will be considered used and forfeited unless Company approves an exception or applicable law requires otherwise.

This policy also applies to the kickoff session. If a kickoff session is missed or canceled late, Company may require Client to reschedule it in accordance with Company's availability.

The six-month coaching term will not begin until the kickoff session is completed.

Late Arrivals and No-Shows

Coach will join the scheduled virtual meeting at the designated appointment time.

If Client does not join within 15 minutes of the scheduled start time, Coach may end the meeting, and the session will be considered used and forfeited.

If Client arrives late but within the 15-minute window, the session will end at its originally scheduled time. Additional time will not be provided to compensate for late arrival.

For a missed kickoff session, the kickoff must still be completed before the six-month coaching term begins. A forfeited kickoff appointment does not count as completion of the kickoff.

Coach-Initiated Cancellations

If Company cancels a scheduled session, Company will provide a reasonable opportunity to reschedule without reducing Client's contracted coaching entitlement.

A session canceled by Company will not be considered used or forfeited merely because the replacement appointment falls outside the original calendar month.

End of Coaching Term

The coaching term concludes on the final day of the sixth calendar month, including the kickoff month.

Any unused sessions expire at the conclusion of the Program, except for sessions Company is obligated to reschedule or extensions expressly approved in writing.

Unused sessions do not entitle Client to a refund, credit, or additional coaching time, except as required by applicable law.

7. Communication and Support Between Sessions

The Program includes scheduled private coaching sessions and the educational resources described in this Agreement.

Unlimited email coaching, text messaging, direct messaging, and unscheduled coaching are not included.

Client may contact Coach by email regarding Program-related matters.

Coach will make every effort to respond to emails within two business days, excluding weekends and holidays.

Email communication is not intended to replace scheduled coaching sessions or provide ongoing coaching between appointments.

The Program does not provide emergency or crisis support.

8. Coaching Pauses and Extensions

The six-month coaching term continues regardless of Client's level of participation, except where required by applicable law or agreed to in writing by Company.

Client is not entitled to pause or extend the coaching term due to vacations, work demands, financial circumstances, personal obligations, or other scheduling conflicts.

Company may approve a temporary pause or extension in writing at its discretion.

Any approved pause or extension will specify applicable changes to coaching dates, session availability, and payment obligations.

Unless expressly modified in writing, the original installment payment schedule remains in effect during an approved pause.

9. Course Library Access

Client will receive access to designated educational materials through Company's online learning platform.

Company currently allows clients to retain access to the course library after the six-month coaching term concludes.

Continued access is provided without a guaranteed lifetime duration and is subject to the continued availability of the platform, Program materials, and Company's policies.

Company may modify, replace, discontinue, or migrate the course library, provided these changes do not improperly deprive Client of access expressly promised during the contracted coaching term.

Continued course access does not include additional private coaching sessions or ongoing coaching support.

10. Session Recording, Transcription, and AI-Assisted Notes

Company may use Zoom or other virtual meeting technology to conduct coaching sessions.

With Client's consent, coaching sessions may be recorded, transcribed, or documented using AI-assisted notetaking tools for internal coaching purposes, including maintaining session notes, tracking goals, and documenting action items.

By affirmatively accepting this Agreement, Client consents to such recording, transcription, and AI-assisted notetaking, subject to applicable law.

Company will provide notice before recording or transcription begins and will obtain any additional consent required by applicable law.

Client may request that a session not be recorded or transcribed by notifying Coach before recording or transcription begins.

Company will honor such requests without reducing Client's access to coaching services.

Client may withdraw consent for future recording or transcription by notifying Company in writing.

Recordings, transcripts, and coaching notes will be handled in accordance with Company's applicable privacy and records practices.

Company will not publicly share coaching recordings, transcripts, or identifiable Client information without separate written authorization.

11. Client Participation and Responsibility

Client understands that coaching is a collaborative process requiring active participation.

Client is responsible for scheduling appointments, attending sessions, completing agreed action steps, and making personal financial decisions.

Company does not guarantee financial results or assume responsibility for implementing Client's financial plan.

Company's responsibility is to make contracted coaching services reasonably available and provide the agreed educational resources during the coaching term.

Client remains responsible for deciding whether and how to implement information discussed during coaching.

12. Client Inactivity and Early Termination

Client understands that enrollment constitutes a commitment to the full six-month Program.

Client Inactivity

If Client becomes inactive or repeatedly fails to respond to scheduling communications, Company may contact Client to determine whether they intend to continue coaching.

Company may provide final written notice requesting a response within seven calendar days.

If Client does not respond, Company may terminate the coaching relationship after appropriate written notice, subject to applicable law.

Client-Initiated Discontinuation

Client's decision to discontinue coaching before completing the Program does not eliminate remaining installment obligations or establish an entitlement to a refund, except where required by applicable law or expressly agreed to in writing by Company.

Company-Initiated Termination

Company may terminate coaching for material breach of this Agreement, repeated nonpayment, abusive or threatening behavior, or other substantial circumstances making continued coaching inappropriate.

Where appropriate, Company will provide notice and an opportunity to resolve the issue.

If Company terminates the relationship for reasons unrelated to Client's breach, Company will address prepaid but undelivered services and remaining payment obligations in accordance with applicable law.

Termination and any agreement affecting outstanding payments will be documented in writing.

13. Nature and Scope of Financial Coaching

Company provides financial education, behavioral coaching, and general personal money-management guidance.

The Program focuses on financial habits, intentional spending, financial organization, savings, money mindset, debt repayment education, and general wealth-building concepts.

Company and Coach are not acting as Client's attorney, accountant, tax adviser, financial planner, registered investment adviser, broker-dealer, fiduciary, therapist, or licensed mental health professional.

The Program does not provide legal services, tax preparation, psychotherapy, mental health treatment, individualized investment advice, securities recommendations, investment management, or regulated credit-repair services.

Information shared during coaching is intended for educational purposes and should not be interpreted as individualized professional investment, legal, tax, or mental health advice.

Client is encouraged to consult appropriately licensed professionals when needed.

Credit-Related Education and Services

The Program may include general education about credit card use, interest charges, debt repayment methods, credit utilization concepts, and publicly available financial options.

Company does not undertake to repair or improve Client's credit record, history, or rating; obtain an extension of credit for Client; prepare or submit credit applications on Client's behalf; or act as an intermediary or representative between Client and creditors.

Company does not negotiate, settle, or modify Client's debts with creditors on Client's behalf.

Client remains responsible for independently contacting financial institutions, selecting financial products, and making financial decisions.

General educational discussions do not constitute a promise or guarantee of credit approval, improvement in credit score, debt forgiveness, or other credit-related outcomes.

The descriptions and limitations in this section define the services Company agrees to provide. They do not waive or override any licensing, registration, consumer-protection, or other legal requirements that may apply to Company's actual activities.

If applicable law requires a different contractual arrangement or specific consumer protections for a particular service, the governing legal requirements control.

Client is encouraged to consult appropriately licensed professionals when seeking individualized investment, tax, legal, credit, or debt-management services.

14. Client Responsibility and Financial Decisions

Client retains sole responsibility and final decision-making authority over all personal financial matters.

Coach provides education, guidance, tools, and support to help Client evaluate financial options, develop money-management skills, and work toward financial goals.

Coach does not make financial decisions on Client's behalf, direct Client's investments, manage Client's financial accounts, execute financial transactions, or exercise control over Client's money.

Any decisions involving spending, saving, borrowing, debt repayment, investments, financial products, or other financial matters are made independently and voluntarily by Client.

Client is responsible for evaluating the suitability, risks, costs, and consequences of any financial decision before taking action.

Company does not provide personalized investment recommendations or advise Client to purchase, sell, or hold particular securities or investment products.

Client understands that discussions of investment concepts are educational and are not recommendations tailored to Client's individual investment objectives, financial circumstances, or risk tolerance.

Company does not guarantee specific financial results, including savings, debt reduction, investment returns, credit-score improvements, or increases in income.

Client acknowledges that financial outcomes depend on individual circumstances, decisions, actions, participation, and factors outside Company's control.

Client should consult an appropriately licensed or registered investment professional before making investment decisions requiring individualized professional advice.

15. Confidentiality and Protection of Financial Information

Company respects the confidentiality of Client's personal and financial information.

Information provided during coaching will be used to deliver coaching services, maintain appropriate records, and administer the Program, in accordance with Company's Privacy Policy and applicable law.

Client should use Company's designated methods for sharing sensitive financial documents and should not provide banking passwords, complete payment card information, or account login credentials to Coach.

Company may use appropriate third-party service providers for payment processing, scheduling, video meetings, educational materials, communications, and recordkeeping.

Personal information may be disclosed when authorized by Client, reasonably necessary to provide contracted services through appropriate providers, or required or permitted by law.

Company will use reasonable safeguards to protect Client information.

16. Client Results, Testimonials, and Marketing

Company may share truthful, accurately presented, aggregated, or properly de-identified client outcomes for educational and marketing purposes, provided the information cannot reasonably be used to identify an individual Client.

Company will obtain separate written authorization before publicly sharing Client's name, photograph, identifiable financial circumstances, personal testimonial, or other information that could reasonably identify Client.

Company will not publicly disclose confidential Client records or identifiable coaching discussions without appropriate authorization.

Any marketing claims concerning client results must accurately represent the underlying outcomes and comply with applicable advertising and consumer-protection requirements.

Declining permission to use an identifiable testimonial will not affect Client's participation in the Program.

17. Intellectual Property and Educational Materials

Company retains ownership of its proprietary coaching materials, educational frameworks, worksheets, videos, templates, and other Program content.

Client receives a limited, personal, nonexclusive, nontransferable license to use these materials for individual educational purposes.

Client may not reproduce, distribute, resell, publish, or commercially exploit Company materials without prior written permission.

Access to Company resources does not transfer ownership of intellectual property to Client.

18. Payment Disputes and Chargebacks

Client agrees to contact My Dream Finances LLC at info@germainefoley.com regarding billing concerns so the parties may attempt to resolve the matter directly.

Client acknowledges that enrollment constitutes a financial commitment to the full six-month Program.

Initiating a payment dispute or chargeback does not, by itself, terminate this Agreement or eliminate payment obligations that remain legally enforceable.

Company reserves the right to dispute chargebacks by providing documentation of Client's enrollment, acceptance of this Agreement, payment authorization, and delivery or availability of contracted services.

Company also reserves the right to pursue recovery of legally owed unpaid amounts through lawful collection or legal proceedings.

Nothing in this section limits rights that cannot lawfully be waived.

19. Limitation of Liability

Client acknowledges that financial decisions are made independently and voluntarily.

To the fullest extent permitted by applicable law, Company shall not be liable for financial losses arising from Client's independent financial decisions, including decisions regarding spending, saving, debt repayment, borrowing, or investing.

Nothing in this Agreement limits liability or legal rights that cannot lawfully be limited or waived.

20. Events Beyond Reasonable Control

Neither party shall be considered in breach of this Agreement for delays or failures to perform caused by extraordinary events beyond their reasonable control, including natural disasters, government emergencies, widespread power outages, or major technological disruptions that prevent performance.

The affected party will provide reasonable notice, and Company will make reasonable arrangements to reschedule impacted coaching services.

This provision does not eliminate payment, refund, or other obligations that remain enforceable under applicable law.

21. Governing Law, Jurisdiction, and Resolution of Disputes

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Michigan, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

The parties agree to make a good-faith effort to resolve any disputes arising from this Agreement through written communication before initiating legal proceedings.

To the fullest extent permitted by applicable law, any legal action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Michigan.

Client and Company consent to the personal jurisdiction of such courts for disputes arising under this Agreement, subject to applicable law.

22. Notices and Written Agreements

Official notices concerning termination, payment concerns, scheduling disputes, or other material matters under this Agreement must be communicated in writing.

Notices to Company may be sent to info@germainefoley.com.

Notices to Client may be sent to the email address provided during enrollment.

A notice will be considered delivered when successfully transmitted to the designated email address, unless the sender receives a delivery-failure notification, subject to any different notice requirements imposed by law.

Any discretionary exception, waiver, or modification to material contractual terms must be documented in writing.

23. Agreement Modifications and Severability

The Program price and agreed installment schedule will remain fixed for the duration of this Agreement.

Company will not unilaterally increase the agreed Program price or impose additional coaching fees during the contracted term.

Any other modification to this Agreement must be mutually agreed upon in writing by Company and Client, except where required by applicable law.

If any provision of this Agreement is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.

Company's decision not to enforce a provision on one occasion does not waive the right to enforce that provision in the future.

24. Entire Agreement

This Agreement, together with specifically incorporated policies and enrollment details accepted by Client, constitutes the complete agreement between the parties regarding the private coaching Program.

This Agreement supersedes prior discussions or representations concerning the same enrollment, except for additional terms expressly incorporated in writing.
